MEMORANDUM OF ARTICLES AND ASSOCIATION
FEDERATION OF NGOs OF RAJASTHAN (Weaker
Section)
1. NAME OF THE ASSOCIATION
The name of the association shall
be
"FEDERATION
OF NGOs OF RAJASTHAN" (Weaker Section)
2. REGISTERED OFFICE
The Registered Office of the FEDERATION
shall remain anywhere in the State of
Rajasthan and at present it is at the
following address:

3. AREA OF OPERATION
The FEDERATION will have entire Rajasthan,
as it's operational area and shall spread
its activities in the entire state.
4. AIMS AND OBJECTIVES
Aims and objects of the Federation for which
the same is established are as under: -
4.1 To bring together like-minded
individuals and active groups,
organizations, trusts, Waqfs, NGOs etc. On
the principle of progressing together by
joining and forming regional and local
chapters in this regard in the state of
Rajasthan.
4.2 To provide common platform to members to
share views, experiences and resources for
carrying out their activities with increased
capacity exposure and resources.
4.3 To empower voluntary organizations and
NGOs to achieve their cherished objectives
in an effective manner and to discharge
their respective functions in a better way.
4.4 To facilitate inter-organization
cooperation and coordination at various
levels of chosen activities for training,
orientation and development of volunteers,
workers, etc. To be involved in welfare and
charitable activities in non-profit
organizations.
4.5 To help develop common policies for
issues and problems having general bearing.
4.6 To undertake research and surveys
necessary for activities and to publish the
same as and when required.
4.7 To provide accreditation to active
groups on the basis of their performance and
impact and record of activities.
4.8 To organize conference, seminars,
workshops, meetings, rallies, exhibitions
and allied activities.
4.9 To publish books, pamphlets,
periodicals, newsletters, audio-video
materials, websites, etc. for promoting
objectives of the FEDRATION.
4.10 To cooperate with establishment and
organizations working for identical purposes
at local, regional and state levels.
4.11 To provide platform for promoting
educational, health and income generating
programs to make healthy environment where
in knowledge is imparted to the poorest of
poor.
4.12 To make NGOs aware about the various
government schemes, and facilitate these
NGOs so that they can get maximum benefit
out of these schemes.
4.13 To make NGOs aware about various
financial institutions which are providing
financial assistance for individual and
organizations?
4.14 To carry out activities by which
entrepreneurship amongst the poorest of poor
can be developed.
4.15 To create an atmosphere in which people
at large can associate themselves in
activities of common good and can form
societies for their benefit.
4.16 To create pressure groups and conduct
activities, which can force the
establishment to take care of the needs of
weaker sections and can make special schemes
for upliftment of status of weaker sections.
4.17 Motivate and facilitate NGOs and
individuals to create world-class
institutions of education for weaker
sections.
4.18 To motivate masses to create
self-sufficient educational institutions
which could provide basic/technical
education to members of weaker sections.
4.19 To provide legal aid to all NGOs and
members of weaker sections as and when
required.
4.20 To create an atmosphere of peace and
harmony amongst all sections of society so
that India could be a strong and model
country of progress and brotherhood.
4.21 To honour NGOs/individuals for their
outstanding contribution in their field of
activities which in turn benefits the
society as a whole.
4.22 To create awareness about Waqf
societies to maintain their properties,
devise procedures for optimum use of income
arising out of waqf properties which is to
be utilized for the benefit of people at
large.
5. FOUNDER MEMBERS
I, Formation of the FEDERATION was conceived
in a conference of individuals and some
organizations held in13th May, 2007 at
Jodhpur. The following individuals from now
on called Founder members have taken the
responsibility to establish it. These
Founder members being Life members will
constitute first Governing Council of the
FEDERATION
6. GOVERNING COUNCIL:
The Names, Addresses, Occupation and the
Designations of the present members of the
Governing Council, to whom the management of
the FEDERATION is entrusted, as required
under "Section 2 of the Societies
Registration Act of 1860", are as under.
This Governing Council will continue to work
for first three years from the date of the
registration of the society and will be
entitled to nominate Patrons, Advisors
associate members etc.

7. DESIROUS PERSONS:
We the undersigned are desirous to form a
society under the name of FEDERATION of NGOs
of Rajasthan (Weaker Sections) under the
Societies Registration Act of 1860 as
applicable in Rajasthan State, are as under
in pursuance of this memorandum:

5. MEMBERSHIP:
The FEDERATION has provisions for the
following categories of memberships. The
Governing Council will consider the
proposals for membership and has the right
and power to accept or reject such proposals
as per the rules and policies in this regard
and to fix membership Fee for each category.
5.1 Founders
The individual who have promoted the
formation of FEDERATION shall be deemed as
the Founders of the
Federation
of NGOs of Rajasthan (Weaker Section)
and shall be Life Members of this
Federation.
5.2 Institutional Membership
Institutional Members of the FEDERATION will
be of those organizations, trusts, Waqf
societies, welfare organizations, charity
outfits, voluntary organizations,
cooperative societies, non-profit companies
and all other NGO's to whom the FEDERATION
will admit for a period of three years on
the basis of norms and procedures of the
FEDERATION .The membership of this category
may be extended for further term or terms.
The organizations availing such membership
will nominate their one representative to
participate in the proceedings at various
levels.
5.3 Associates
Individuals whom the FEDERATION accepts and
nominates as its Associate member due to
their eminence in various walks of life,
shall become its associate members
(Renewable) for a term of three years.
5.4 Patrons
The FEDERATION shall request persons of
eminence to become its Patrons.
6. TERMINATION OF MEMBERSHIP:
The governing council shall have the powers
to expel/terminate membership of any
category on the following grounds: (Subject
to the confirmation by general council)
6.1 Associates and institutional
members may be terminated from the
FEDERATION on withdrawal from the FEDERATION
as associates/ institutional members,who
found guilty of embezzlement of funds or
criminal /illegal activities, or if found
working against the FEDERATION in whatever
manner. For the termination of an associate
member, Institutional Member the decision
would be taken by a simple majority of the
governing council.
6.2 The governing council may ask the
respective Institutional Member to change
their representative if his/her
representation becomes unacceptable to the
FEDERATION due to some reasons.
6.3 The termination of membership of
any member shall automatically become
effective on demise, insanity, bankruptcy,
or if the concerned member is convicted by
any court of law on becoming an offender in
a crime or if the governing council finds
him/her working against the interest of the
FEDERATION.
6.4 In case of termination of founder
members, only two third majority of founder
members shall take such a decision
7. DECISION MAKING BODIES:
There shall be three bodies having various powers, comprising of
the members, to take decisions according to
their respective roles, namely governing
council, executive council, and general
council.
7.1 Governing Council
It shall comprise the following 31 members
7.1.1 17 members elected from Founder
Members.
7.1.2 7 members from Associate Members to
be nominated by founder members by simple
majority.
7.1.3 7 members from Institutional
Members to be nominated by founder members
by simple majority.
All above categories of members will have
one voting right each in Governing Council.
7.1.4 The governing council shall become
effective soon as the FEDERATION gets duly
registered.
7.1.5 The Governing Council shall appoint
associate members/institutional members,
patrons as and when required.
7.1.6 Secretary General shall be the
spokes person of federation.
7.1.7 Governing Council shall have the
power to frame policies & programme. of the
federation.
7.1.8 Office bearers of Federation -
President, Senior Vice President,
vice-presidents, General Secretary,
Secretaries, Treasurer, and other office
bearers will be members of the governing
council and each will have one voting right
in governing council and decision will be
approved by simple majority.
7.1.9 The governing council shall have the
power to develop Procedures to regulate the
activities of the federation on day-to-day
basis.
7.1.10 Shall appoint regional coordinators,
shall employ employees as per requirement,
shall employ, head of central secretariat,
and open a bank account having president,
general secretary and treasure as
signatories. Any two of above can operate
the bank account.
7.2 General Council
All members-Founder members, Associates
members, Patrons, and Institutional Members
will be the members of the general Council,
who will have voting rights. The General
Council will have as its members as
follows:
7.2.1 Founder Members
7.2.2 Associates Members
7.2.3 Institutional members
7.3 Founder Members Council
Founder members will elect their president
for a specific meeting and shall be the
president only for the purpose of internal
matters of founder members. All other
meetings of federation shall be presided
over by president of the governing council
and he shall be the first public relation
officer of the federation.
8. FUNCTIONING OF THESE BODIES:
The above-said bodies shall function in the
following manner:
8.1 Meeting of the governing council
will be held at least twice in a year; where
as the meeting of the General Council shall
be held at least once in a year.
8.2 The President will supervise
functioning of the FEDERATION.
8.3 The President shall execute
decisions of the FEDERATION
8.4 The quorum of meetings of central
governing council shall be one third (1/3)
of its members whereas the quorum of General
Council shall be one fourth (1/4) of all the
members of the FEDERATION If at any time
sufficient number of members are not present
to form the quorum the meeting shall be
adjourned for one hour and no quorum shall
be necessary in respect of this adjourned
meeting.
8.5 The decision in any meeting shall
be taken by majority vote and the chair
shall have the casting vote in case of equal
votes on any matter.
9. POWERS AND RESPONSIBILITIES OF
GOVERNING COUNCIL:
The governing council shall have the
following powers and responsibilities:
9.1 To develop, frame and execute
policies and procedures of the FEDERATION
9.2 To make annual planning, review
activities reports, statements of accounts,
approve annual budget, organize fund-raising
programmes, schemes and execute all above
mentioned activities approved by the
General Council.
9.3 To take decisions on suggested
matters.
9.4 To authorize office-bearers,
committees subcommittees and Advisory
Committees on such matters as the governing
council deems appropriate for realizing
the aims and objectives of the FEDERATION
9.5 To approve/reject applications of
membership of the FEDERATION.
9.6 To take all steps which will be
beneficial for the smooth and better
functioning of the FEDERATION and to take
any other decision for growth of the
FEDERATION.
9.7 To suspend any office bearer,
dissolve any type of the committee &
sub-committee.
10. POWERS AND RESPONSIBILITIES OF THE
GENERAL COUNCIL:
The General Council of the FEDERATION shall
have the following powers and
responsibilities:
10.1 The General Council, consisting of
members as mentioned above of the FEDERATION
shall review the functioning of the
FEDERATION every year on the occasion of
its statutory meeting and make suggestions
for improvement of affairs of the
FEDERATION
10.2 The General Council shall make
frame and approve long-term plans of the
FEDERATION and monitor progress thereof.
10.3 The General Council shall have
power to superceed any decision of the
governing council, by two-third votes of its
attending members.
10.4 If one-third members of the General
Council jointly desire mid-term meeting, it
shall be binding upon the Office-Bearers to
organize such a meeting within one month of
submission of such request.
11. POWER OF FOUNDER MEMBERS:
11.1 Two third majority amongst the
founder members present will have a veto
power, on any decision, matter of governing
council, General Council, if they feel that
such decision is against the aims and
objectives of the Federation or motivated by
exterior motives which does not confer with
the aims and objectives of the Federation.
Minimum quorum for such decision will have
to be 2/3 of total founder members.
11.2 If any seat of the founder member
is vacated by any reason, only the founder
members will have the power to fill the
vacancy by 2/3 majority.
12. ELECTION:
Elections of the above bodies will be
conducted as per the rules and regulations
of the Federation.
The elections will be held every third year,
the governing council will nominate election
officer who will conduct these elections as
per norms laid down and the norms which will
not be contrary to the provisions of
Societies Registrations Act of 1860
applicable in the State of Rajasthan.
13. AMENDMENTS:
The General Council will have powers to amend
the Rules and Regulations with a simple
majority of the members present. If any veto
is exercised as mentioned earlier, than, the
veto will prevail over the decision of the
General Council, Governing Council.
14. LEGAL PROCEEDINGS:
The FEDERATION may sue or be sued in the
name of President / General Secretary as per
provisions laid down under Section 6 of the
Societies Registration Act, 1860 in any
court having jurisdiction in the city of
head office of the federation.
Any dispute arising out of any matters has
to be referred to an arbitrator appointed by
founder members and only then one can move
the court of law.
15. APPLICATION OF THE ACT:
All the provisions under the sections of the
Societies Registration Act, 1860 shall apply
to this FEDERATION
16.
The nature of operations of all
activities of Federation shall always remain
non-political but members will be free for
their own individual activities.
17. DISSOLUTION:
DISSOLUTION CAN BE EFFECTED BY 2/3 MAJORITY OF FOUNDER MEMBERS:
In case of the dissolution of the FEDERATION
by the consent of two third founder members,
its assets will be transferred to one or
more societies, trusts or institutions
working with similar aims and objectives.
